Network Solutions Affiliate Channel Partner Agreement

This Network Solutions Affiliate Agreement (the "Agreement") contains t0he terms and conditions between Network Solutions, LLC. ("Network Solutions"), and the individual or organization (the " Affiliate") participating in the Network Solutions Affiliate Partner Program (the "Program"). In this Agreement, "we" and "us" means Network Solutions, "you" means the Affiliate, and Network Solutions and Affiliate may also be referred to individually as a "Party" or collectively as the "Parties" throughout this Agreement.

Overview: Network Solutions operates the Network Solutions Web site. As part of the Network Solutions Web Site, Network Solutions offers the Program, through which approved Affiliates are granted a limited, non-exclusive right to: (i) advertise and promote Network Solutions Services and the Network Solutions Web Site in a manner in compliance with this Agreement and the Publisher Service Agreement between Affiliate and Commission Junction, Inc. ("CJ"), (ii) post or circulate an approved graphical or textual internet hyper-link ("Link") to the Network Solutions Web Site, and (iii) direct visitors to the Affiliate's Web Site and to the Network Solutions Web Site. Network Solutions and the Affiliate are each independently parties to agreements with CJ and are participants in the CJ Network (the "CJ Program"). This Agreement provides terms and conditions applicable to your membership in the Program that are in addition to the terms and conditions that you have agreed to pursuant to your Publisher Service Agreement with CJ ("Publisher Service Agreement").

Definitions
Except as may otherwise be defined within the Agreement, the definitions are as follows:
- "Affiliate Application" means the Network Solutions online Affiliate Channel Application located at: the Commission Junction Publisher Signup Page. that you must complete to be considered for the Program.
- "Intellectual Property Rights" means any and all now known or hereafter existing rights associated with a Parties' intangible property, including but not limited to registered and unregistered, United States and foreign copyrights, trade dress, trade names, trademarks, service marks, corporate names, logos, inventions, patents, patent applications, software, know-how, and all other intellectual property and proprietary rights (of every kind and nature throughout the universe and however designated) relating to such intangible property.
- "Marks" means those United States and/or foreign registered or un-registered trademarks, service marks and logos that are the proprietary intellectual property of a Party, and which are provided to the other Party under this Agreement for the limited purposes of this Agreement.
- "Net Sales" means the revenue actually received from sale transactions of Network Solutions Services, less any refunds, rebates, returned checks, fraudulent transactions and credit card charge backs.
- "Network Solutions Links" means the hyperlink(s), and any associated code, made available to the Affiliate by Networks Solutions during the term of this Agreement and establish a link from Your Site to Our Site. We may modify and/or update the Network Solutions Links during the Term in Our sole discretion.
- "Network Solutions Services" means domain name registration, Web presence, online marketing, e-mail, and other products and services that Network Solutions may offer from time to time on the Network Solutions Web Site and make available through the Program via the Network Solutions Affiliate Marketing Pages. Network Solutions Services also includes the services of Network Solutions Partners.
- "Network Solutions Web Site" or "Our Site" means the Web site located at http://www.networksolutions.com or any successor Web site.
- "Network Solutions Vendors" means any and all third-parties that may provide infrastructure, payment tracking, marketing and sales support for the Program.
- "New Affiliate Marketing Pages" means the Web pages located at www.networksolutionsaffiliates.com or any successor Web site.
- "Your Marketing Channels" means (a) Your Site, (b) your communications targeting your customer and non-customer opt in list, and (c) any other Web sites or marketing channels identified by you and approved by Network Solutions in writing.
Enrollment in the Program
To enroll in the Program, you must submit a properly completed Affiliate Application. By submitting the Affiliate Application, you agree to be bound by the terms and conditions outlined in this Agreement if Your Affiliate Application is accepted by Network Solutions. We will evaluate your Affiliate Application and will notify you of your acceptance or rejection via email in a timely manner. We may reject your Affiliate Application for any reason in our sole discretion.
Licensed Content and Network Solutions Links
- As a Affiliate, we may make available to you logos, trade names, trademarks, and marketing material, including, but not limited to, marketing creative, graphics, banners, and Network Solutions Links and (collectively "Licensed Content") for your use in promoting the Network Solutions Services. The Licensed Content may change from time to time in Network Solutions sole discretion. You shall use the Licensed Content in accordance with the License Grant set forth in Section 3(b) below.
  - Network Solutions hereby grants to you, and you hereby accept, a non-exclusive, revocable, worldwide, non-transferable, non-sublicensable, royalty free license to use, reproduce, publicly display, transmit, market, promote, and broadcast the Licensed Content for the sole purpose of promoting Network Solution Services and the Program as described in this Agreement, subject to any style guide or instructions regarding the use or display of the Licensed Content as Network Solutions may provide from time to time. You may not alter, modify or change the Licensed Content without our prior written consent.
  - You acknowledge and agree that when marketing Network Solutions' products and/or services, you must be able to show or prove to Network Solutions that you are marketing Network Solutions' services in a manner that we deem acceptable. Manners that are not acceptable to market our products and services include, but are not limited to, using adware, spyware, browser helper objects [bho], hijackers, viruses, and Trojans.
Ownership
Each party shall retain all rights, title, and interest in its Intellectual Property. Each Party owns all rights in and to its Marks and its Web site, and all Intellectual Property Rights therein and thereto. All uses of the same shall inure to the sole benefit of and be on behalf of the Party that owns such rights. The Parties acknowledge that each Party's Marks and Intellectual Property Rights, and the goodwill associated therewith, are valuable properties belonging to each Party, and that all rights thereto are and shall remain the sole and exclusive property of the Party that owns such rights. Neither Party shall contest the validity of the other Party's Marks during the Term of this Agreement. Nothing herein shall confer upon either Party any right of ownership in any of the other Party's Marks or Intellectual Property Rights.

Your Responsibilities
You acknowledge and agree that:
- You may display Licensed Content that includes Network Solutions Links throughout Your Site in accordance with Section 3 of this Agreement and You are solely responsible for ensuring that the content of Your Marketing Channels, and the products and services that you offer from Your Site, comply with all applicable laws and regulations;
- You agree that you will not make any representations and warranties about the Network Solutions Services;
- You agree to comply with all Federal, State and local laws governing the practice of e-mail marketing (including, but not limited to the CAN-SPAM Act). Network Solutions does not condone "spamming" activity. Should you market Network Solutions Services to your customers via e-mail marketing, you are obligated to abide by all laws, and industry best practices including, but not limited to, providing customers with the ability to opt-out of further marketing communications. Further, you agree that should you include Network Solutions Services in any e-mail marketing campaign, you will include the following disclaimer on each such single-subject or multi-subject e-mail: "This e-mail was not sent by or on behalf of Network Solutions, Inc. and Network Solutions shall not be responsible or liable to any party for its content or method of distribution";
- You agree that should you register keywords for paid-inclusion, cost-per-click (CPC) search engine listings for the express purpose of promoting Network Solutions Services, that you (i) will not register any Network Solutions Mark, any character string that is identical or similar to (including misspellings of) any Network Solutions Mark, a complete list of such Marks is available upon request to affiliates@networksolutions.com, (ii) will not position yourself in any ad associated with any such keywords as an official, authorized, certified or sponsored Network Solutions Web site, and (iii) will include a prominent reference identifying yourself as a member of the Program;
- You agree that should you register domains for the purpose of promoting Network Solutions services, that you (i) will not register any Network Solutions Mark, any character string that is identical or similar to (including misspellings of) any Network Solutions mark. Also, you (i) will not register any domains similar to (including misspellings of) those registered domains that are used by Network Solutions for marketing or operational programs. For example, registering a "fat-finger" variation of a Network Solutions registered domain name, in order to capture someone who mis-types the intended domain name, and direct that traffic to Network Solutions with your affiliate tag is a prohibited practice.
- You are solely responsible for the development, operation and maintenance of Your Marketing Channels, including, but are not limited to, the technical operation of Your Site and all related equipment, the accuracy and propriety of materials posted on or included in Your Marketing Channels; and, ensuring that materials posted on Your Site do not violate or infringe upon the rights of any third party and are not libelous or otherwise illegal; and
- You agree that you will cooperate fully with us in order for you to interface properly with Our Site. You agree to improve and update your interface connection which hosts the Network Solutions Links no less frequently than every nine (9) months, or within five (5) days of a written request by Network Solutions in order to maintain an optimum linking connection. You further acknowledge and agree that Network Solutions is not responsible for the payment of any Referral Fees (as defined below) for sales that it is unable to track as a result of your failure to update your interface connection.
- You agree that Network Solutions and CJ are not responsible for the payment of any Referral Fees (as defined below) for sales that it is unable to track as a result of any modifications you make to the Network Solutions Links, or for sales by you if you are in breach of this agreement.
- You agree that you when engaging in marketing practices for the express purpose of promoting Network Solutions services that you will not infringe on any Network Solutions Marks and you will conduct all marketing activities in a fair, ethical, and legal manner.
Referral Fees
Except as otherwise set forth herein, we will pay you referral fees, through CJ, on Net Sales of Network Solutions Services from customers who (a) access Our Site through the use of the Network Solutions Links in Your Site and/or Your Marketing Channels; (b) purchase Network Solutions Services on the Network Solutions Web Site storefront, and (c) remits full payment to us for the Network Solutions Services purchased (hereinafter "Referral Fees"). Network Solutions, through CJ, shall pay the Referral Fees within sixty (60) days after the end of each calendar month in which the Referral Fees are earned. Network Solutions does not pay commissions on the renewal of services "renewals". Any payment of Referral Fees due hereunder is contingent upon you providing to us your true and correct tax identification number, address, name, telephone and e-mail address in the Affiliate Application when you apply to the Program, and keep that information up-to-date with Network Solutions and CJ. You acknowledge and agree that the data maintained by Network Solutions shall govern the computati on of any Referral Fees due to you, and that in the event of a conflict between Network Solutions data and other third party data, Network Solutions data shall control and be authoritative. All Referral fees paid by Network Solutions or CJ, will be paid to You in the form of a check or a direct deposit or any other method that CJ accepts. The following provision only applies to those affiliates that participated in the BeFree, Inc. platform: You agree that Network Solutions will not pay you any Referral Fees that do not exceed One Hundred Dollars ($100.00), if You do not transition to the CJ Program by October 30, 2006.
Reports of Sales
Through the CJ Program Commission Junction may from time to time make available to you certain reports that allow you to track sales including total sales, commissions generated and banner or Link performance.
Publicity
Any press release(s), announcements, publications or other media releases regarding this Agreement, or the other Party hereto, shall be mutually agreed upon in writing by the Parties prior to any such release. Neither Party will make any representations or warranties about the other Party's Web site or the other Party's products or services that the other Party has not first approved in writing. During the Term of this Agreement, neither Party will disparage the other Party, the other Party's Marks, the other Party's web site, or any of the other Party's products or services, or display any such items in a derogatory or negative manner.
Term of this Agreement and Termination
This Agreement will become effective upon your acceptance of the terms and conditions of this Agreement and our acceptance of your Affiliate Application and continue indefinitely until, (i) either Party terminates this Agreement by providing notice to the other Party in accordance with Section 16; (ii) terminated by us as a result of your breach of this Agreement, or; (iii) provided, however, that if you fail to deliver at least one click-through from a Network Solutions Link on Your Site in any consecutive six (6) month period, at which point this Agreement will automatically terminate ("Term"). Network Solutions and CJ may deactivate You from the CJ Program or the Program for inactivity, if You do not generate any Net Sales or Referral fees for thirty (30) days or longer. In such event, You will be required to resubmit an Affiliate Application in order to be re-activated in the Program and the CJ Program. Once reactivated, you will need to download new Network Solutions Links and secure a new affiliate identification number. Within ten (10) days of any termination of this Agreement, the Network Solutions Links and all Licensed Content shall be removed from Your Marketing Channels and you shall discontinue all further use of the Licensed Content.
- This Section 10 and Sections 1, 4, 11, 14, 15, and 16 shall survive the expiration or termination of this Agreement. Section 13 shall survive the expiration or termination of this Agreement for a period of three (3) years, and thereafter shall be of no further force or effect.
- Network Solutions reserves the right to terminate this Agreement for convenience with seven (7) days notice and at any time for breach of this agreement or the PSA.
Modification
We may unilaterally modify or restate any of the terms and conditions contained in this Agreement in our sole discretion with seven (7) days notice.
Representations, Warranties, and Indemnification
Your Representations and Warranties. You represent and warrant that (i) you have the right, power and authority to enter into this Agreement and to fully perform your obligations under this Agreement; (ii) entering into this Agreement does not violate any agreement existing between you and any other person or entity; and (iii) you have all necessary rights in and to your Marks and your Marks do not violate or infringe any Intellectual Property Rights of any other person or entity.
- Your Indemnification. You agree to, and shall, indemnify, defend and hold harmless Network Solutions and its parent company and their respective directors, shareholders, officers, agents, employees, successors, Affiliates and assigns from and against any and all third party claims, demands, suits, actions, judgments, damages, costs, losses, expenses (including reasonable attorneys' fees and expenses) and other liabilities arising from, in connection with or related in any way to, directly or indirectly, any breach or alleged breach of (i) any of the representations, covenants, and warranties made by You under this Agreement, (ii) Section 3(a) hereof, and (iii) any claims arising from any of Your actions and / or content on Your Site and / or Your Marketing Channels. At Network Solutions' request, You shall bear full responsibility for the defense of any such claim (including any settlements); provided however, that (A) You shall keep Network Solutions informed of, and consult with Network Solutions in connection with the progress of such litigation or settlement; and (B) You shall not have any right, without Network Solutions prior written consent, to settle any such claim.
Confidentiality
Confidential Information. The Parties acknowledge that by reason of their relationship under this Agreement, they may have access to and acquire knowledge from, material, data, systems and other information concerning the operation, business, projections, market goals, financial affairs, products, customers and Intellectual Property Rights of the other Party that may not be accessible or known to the general public ("Confidential Information"). Confidential Information shall include, but not be limited to, (i) the terms of this Agreement, (ii) any and all information regarding any software utilized by each Party to create, operate or maintain any of its web sites, and (iii) any information which concerns technical details of operation of any of Network Solutions Services offered hereunder.
- No Disclosure. Each Party receiving Confidential Information (the "Receiving Party") agrees to maintain all such Confidential Information received from the other Party (the "Disclosing Party"), both orally and in writing, in confidence and agrees not to disclose or otherwise make available such Confidential Information to any third party without the prior written consent of the Disclosing Party; provided, however, that the Receiving Party may disclose the financial terms of this Agreement to its legal and financial advisors if such third parties agree to maintain the confidentiality of such Confidential Information. The Receiving Party further agrees to use the Confidential Information only for the purpose of performing this Agreement. Whenever requested by the Disclosing Party, the Receiving Party shall immediately return to the Disclosing Party all manifestations of the Confidential Information or, at the Disclosing Party's option, shall destroy all such Confidential Information as the Discl osing Party may designate. The Receiving Party's obligation of confidentiality shall survive this Agreement for a period of three (3) years from the date of its termination, and thereafter shall terminate and be of no further force or effect.
- Exclusions. The Receiving Party's obligations under Sections 7(a) and 7(b) above shall not apply to Confidential Information which: (i) is or becomes a matter of public knowledge through no fault of or action by the Receiving Party; (ii) was rightfully in the Receiving Party's possession prior to disclosure by the Disclosing Party; (iii) subsequent to disclosure, is rightfully obtained by the Receiving Party from a third party who is lawfully in possession of such Confidential Information without restriction; (iv) is independently developed by the Receiving Party without resort to the Disclosing Party's Confidential Information; or (v) is required to be disclosed by law or judicial order, provided that prior written notice of such required disclosure is furnished to the Disclosing Party as soon as practicable, and prior to disclosure occurring, in order to afford the Disclosing Party an opportunity to seek a protective order or other legal remedy to prevent such disclosure, and that if such or der or remedy cannot be obtained, disclosure may be made without liability.
Limitation of Liability
PARTIES AGREE THAT, EXCEPT FOR AMOUNTS PAYABLE UNDER SECTION 12 (INDEMNIFICATION) OR SECTION 13 (CONFIDENTIALITY) HEREUNDER, NETWORK SOLUTIONS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, CONSEQUENTIAL, PUNITIVE OR OTHER INDIRECT DAMAGES OF ANY NATURE, FOR ANY REASON, INCLUDING, WITHOUT LIMITATION, THE BREACH OF THIS AGREEMENT OR ANY EXPIRATION OR TERMINATION OF THIS AGREEMENT, WHETHER SUCH LIABILITY IS ASSERTED ON THE BASIS OF CONTRACT, TORT (INCLUDING NEGLIGENCE OR STRICT LIABILITY) OR OTHERWISE, EVEN IF IT HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN NO EVENT WILL NETWORK SOLUTIONS (I) BE LIABLE FOR LOST PROFITS OR LOST BUSINESS OPPORTUNITIES ARISING OUT OF THE TERMINATION OF THIS AGREEMENT, OR (II) BE LIABLE FOR DAMAGES OR ALLEGED DAMAGES HEREUNDER, WHETHER IN CONTRACT, TORT OR ANY OTHER LEGAL THEORY, THAT EXCEED THE AMOUNTS REQUIRED TO BE PAID BY NETWORK SOLUTIONS TO YOU HEREUNDER. THE PARTIES FURTHER AGREE THAT FOR AMOUNTS PAYABLE UNDER SECTION 12 (INDEM NIFICATION) OR SECTION 13 (CONFIDENTIALITY) HEREUNDER, NETWORK SOLUTIONS TOTAL LIABILITY UNDER THIS AGREEMENT SHALL NOT EXCEED THE SUM OF TWO HUNDRED FIFTY THOUSAND DOLLARS (US$250,000.00). THE FOREGOING NOTWITHSTANDING, AS BETWEEN YOU AND ANY NETWORK SOLUTIONS PARTNER AND/OR VENDOR, NOTHING IN THIS AGREEMENT SHALL CONFER ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, CONSEQUENTIAL, PUNITIVE OR OTHER INDIRECT DAMAGES OF ANY NATURE, FOR ANY REASON BY YOU AGAINST SUCH NETWORK SOLUTIONS PARTNER AND/OR VENDOR USED BY NETWORK SOLUTIONS TO PROVIDE AND/OR SUPPORT THE NETWORK SOLUTIONS SERVICES.
Disclaimer of Warranty
NETWORK SOLUTIONS, OUR PARTNERS AND/OR VENDORS, MAKE NO EXPRESS OR IMPLIED WARRANTIES OR REPRESENTATIONS WITH RESPECT TO THE PROGRAM OR ANY NETWORK SOLUTIONS SERVICES, INCLUDING, WITHOUT LIMITATION, WARRANTIES OF FITNESS, MERCHANTABILITY, NONINFRINGEMENT, OR ANY IMPLIED WARRANTIES ARISING OUT OF A COURSE OF PERFORMANCE, DEALING OR TRADE USAGE. NETWORK SOLUTIONS DOES NOT MAKE ANY REPRESENTATION THAT ITS WEB SITE WILL BE UNINTERRUPTED OR ERROR-FREE, AND NETWORK SOLUTIONS SHALL NOT BE LIABLE FOR THE CONSEQUENCES OF ANY INTERRUPTIONS OR ERRORS IN CONNECTION WITH ITS WEB SITE.

Legal Department 13861 Sunrise Valley Drive Suite 300 Herndon, VA 20171 Attn: General Counsel	NOTICES TO Affiliate All notices to You shall be sent to the primary contact person and the address listed on your Affiliate Application.

Notices. All notices that either Party is required or may desire to serve upon any other Party shall be in writing and addressed to the Party to be served at the respective addresses set forth below. Any such notice may be served personally or by certified mail (postage prepaid), internationally commercially recognized overnight delivery service (such as Federal Express or DHL), or courier. Notice shall be deemed served upon personal delivery or delivery by courier, upon the second business day after the date sent for notices sent via overnight delivery, or upon the third business day after the date sent for notices sent via certified mail. Either Party may change the address to which notices are to be delivered by written notice to the other Party served as provided in this Section 16.

Entire Agreement. This Agreement constitutes the entire understanding and agreement between Network Solutions and you with respect to the transactions contemplated, and supersedes any and all prior or contemporaneous oral or written representation, understanding, agreement or communication between Network Solutions and You concerning the subject matter hereof. Neither Party is relying upon any warranties, representations, assurances or inducements not expressly set forth herein.
Waiver. No waiver of any provision of this Agreement or any rights or obligations of either Party hereunder shall be effective, except pursuant to a written instrument signed by the Party waiving compliance, and any such waiver shall be effective only in the specific instance and for the specific purpose stated in such writing.
Force Majeure. Neither Party shall be deemed in default hereunder, nor shall it hold the other Party responsible for, any cessation, interruption or delay in the performance of its obligations hereunder due to earthquake, flood, fire, storm, natural disaster, act of God, war, armed conflict, labor strike, lockout, or boycott, provided that the Party relying upon this Section 16 shall have given the other Party written notice thereof promptly and, in any event, within five (5) days of discovery thereof and (ii) shall take all steps reasonably necessary under the circumstances to mitigate the effects of the force majeure event upon which such notice is based; provided further, that in the event a force majeure event described in this Section 16(d) extends for a period in excess of thirty (30) days in the aggregate, either Party may immediately terminate this Agreement.
Headings. The section and paragraph headings appearing in this Agreement are inserted only as a matter of convenience and in no way define, govern, limit, modify or construe the scope or extent of the provisions of this Agreement to which they may relate. Such headings are not part of this Agreement and shall not be given any legal effect.
Severability. In the event that any provision of this Agreement should be found by a court of competent jurisdiction to be invalid, illegal or unenforceable in any respect, the validity, legality and enforceability of the remaining provisions contained shall not, in any way, be affected or impaired thereby.
Assignment. Neither You nor Network Solutions may assign or transfer this Agreement without the prior written approval of the other Party; provided, however, that the sale of any portion of the assets of either Party, or any of its subsidiaries, its acquisition by or merger into another company, shall not be deemed an assignment of this Agreement by such Party. In the event You are acquired by or merged into a direct competitor of Network Solutions, Network Solutions may terminate this Agreement upon at fifteen (15) days prior written notice to the other Party. Any assignment in violation of this Section 16(h) shall be void. Subject to the foregoing, this Agreement shall be binding upon and inure to the benefit of the successors and assigns of You and Network Solutions.
Independent Contractors. The Parties to this Agreement are independent contractors. Neither Party is an agent, representative, or partner of the other Party. Neither Party shall have any right, power or authority to enter into any agreement for or on behalf of, or incur any obligation or liability of, or to otherwise bind, the other Party. This Agreement shall not be interpreted or construed to create an association, joint venture, partnership, franchise, sales representative or employment relationship between the Parties or to impose any partnership obligation or liability upon either Party. Each Party shall bear its own costs and expenses in performing this Agreement.
Governing Law. The Parties agree that this contract is made and performed in Fairfax County, Virginia, U.S.A. This Agreement shall be governed by the laws of the Commonwealth of Virginia, except the Uniform Computer Information Transactions Act, without reference to conflict of law principles. The Parties agree that the United Nations Convention on Contracts for the International Sale of Goods shall not apply to this Agreement. The Parties agree that jurisdiction and venue for any matter arising out of or pertaining to this Agreement shall be proper only in the state and federal courts located in Fairfax County and the Eastern District of the Commonwealth of Virginia, United States of America.
Non-Exclusive Arrangement You understand that the Program is not an exclusive arrangement between You and Network Solutions. You understand and agree that Network Solutions is free to enter into similar transactions as set forth in this Agreement with other entities and we may directly or indirectly solicit customer referrals via other channels under terms that may differ from the terms and conditions set forth herein.
Construction If for any reason a court of competent jurisdiction finds any provision of this Agreement, or portion thereof, to be unenforceable, that provision of the Agreement will be enforced to the maximum extent permissible so as to effect the intent of the parties, and the remainder of this Agreement will continue in full force and effect. Our failure to enforce your strict performance of any provision of this Agreement will not constitute a waiver of our right to subsequently enforce such a provision or any other provision of this Agreement.
Records. During the Term and for a period of three (3) years thereafter, You will maintain books and records related to the customer transactions contemplated under this Agreement. Upon reasonable notice, You will provide such books and records to us for review to ensure Your compliance with the terms of this Agreement.
